Terms and Conditions for Studio.fiveOh, Haptik GmbH, Dreikönigenstr. 10, 50678 Cologne

1. Definitions

In these Terms and Conditions, the following terms have the meanings specified:

- Contracting party : The natural or legal person who concludes or has concluded a contract with Studio.fiveOh.

- Parties : Contracting parties and Studio.fiveOh jointly referred to.

- Purpose : The contract specifies the purpose for which the space is rented to the contracting party.

- Contract : The agreements between Studio.fiveOh and the Contracting Party regarding an event or the rental of a space. These agreements are set forth in a quote signed by the Contracting Party for approval, in a separate contract, or via the website/booking system.

- Event : An event or meeting organized by Studio.fiveOh at the request of the contracting party in one or more rooms.

- Space : The space provided by Studio.fiveOh under the Contract.

- Rental property : The space made available to the contractual partner.

- Rental period : The period during which the contracting party can use the space and which is specified in the contract.

- House Rules : A regulation that describes the house rules of Studio.fiveOh that the contracting party must comply with.

 

2. Applicability of the General Terms and Conditions and conclusion of the contract

2.1 These General Terms and Conditions apply to all offers, deliveries and contracts concluded by Studio.fiveOh, unless otherwise agreed in writing.

2.2 These General Terms and Conditions contain all agreements concluded between Studio.fiveOh and the contractual partner and replace all previous promises, agreements and contracts in connection with the topics described.

2.3 Acceptance of an offer and/or conclusion of a contract means that the contractual partner accepts the applicability of these General Terms and Conditions. Any (purchasing) conditions of the contractual partner are expressly rejected.

2.4 Studio.fiveOh maintains house rules. These house rules also apply to this contract.

 

3. Offer and contract

3.1 The contract is concluded when the contracting party makes a booking via the Studio.fiveOh website/booking system and accepts the General Terms and Conditions, or after the contracting party has signed a written offer from Studio.fiveOh and returned it to Studio.fiveOh or confirmed it by email, or signed a separate contract.

3.2 If no acceptance period is specified in the offer, the offer shall expire 3 weeks after the offer has been sent.

3.3 Studio.fiveOh is not bound by the offer in the offer if there is a typographical or calculation error in this offer.

3.4 Studio.fiveOh cannot be held liable if the rented room does not correspond to the images on the Studio.fiveOh website.

 

4. The room

4.1 Studio.fiveOh rents the space to the contracting party, possibly including the facilities specified in the offer. It is not obligated to provide any other space and/or facilities than those specified in the offer.

4.2 The space is rented exclusively for the purpose stated in the offer. Use for any other purpose is not permitted without the written permission of Studio.fiveOh.

4.3 The contracting party may only use the space during the times specified in the contract. Setup, decoration, and dismantling must be completed within the specified rental times. Studio.fiveOh reserves the right to charge an additional fee for use before or after the agreed times.

4.4 Generally accessible areas such as the entrance area, corridor, toilet, parking lot do not belong exclusively to the space rented to the Contracting Party and are used jointly with third parties.

4.5 The contractual partner is not entitled to sublet or transfer the space to third parties without the written consent of Studio.fiveOh.

4.6 The contractual partner accepts the space in the condition it is in at the start of the rental period and shall report any defects to Studio.fiveOh at that time. Defects discovered at the end of the rental period shall be deemed to have occurred during the rental period, unless the contractual partner can prove otherwise.

4.7 Studio.fiveOh reserves the right to refuse the use of the space to the contracting party if it is determined that the purpose of the event is contrary to the vision of Studio.fiveOh.

4.8 The rented room may only be used for private events.

4.9 The contractual partner is liable for damages caused to third parties through the use of the rental property.

 

5. Condition of the rooms

5.1. The premises are rented in a clean and tidy condition. The tenant is responsible for checking the cleanliness and completeness of the premises at the start of the rental period.

5.2. At the end of the lease, the studio and the rooms must be returned in the same condition as the original. Among other things, all furniture must be returned to its original position. The time required for this must be included in the tenant's rental period.

5.3. A final cleaning of the studio and restroom facilities after production is generally included in the rental price. In the event of excessive soiling or if not all furniture is returned to its original location, we will charge an additional fee of EUR 160 (plus VAT).

 

 

6. Guests

6.1 The number of guests is specified in the contract. Changes require the written consent of Studio.fiveOh.

6.2 The contracting party shall notify Studio.fiveOh in writing of any changes in the number of guests. These changes may affect the price.

6.3 The final number of guests must be communicated two weeks before the room is to be used. If fewer guests are expected, the price calculation will not be adjusted.

6.4 The contractual partner shall ensure that the room capacity is not exceeded.

 

7. Cancellation and postponement

7.1 Cancellation of the contract by the contractual partner is only possible in writing.

7.2 In case of cancellation, the following compensation applies:

- More than 1 month before the start of the rental period: 10% of the agreed price.

- Less than 1 month and more than 7 days before the start of the rental period: 50% of the agreed price.

- Less than 7 days before the start of the rental period: 100% of the agreed price.

7.3 No-shows will be charged 100% of the agreed price.

7.4 Rescheduling of the appointment is only possible after consultation.

7.5 In case of force majeure, the parties shall seek a mutually agreed solution.

 

 

8. Obligations of the contractual partner

8.1 The contractual partner shall ensure that all relevant information is provided in a timely manner.

8.2 Approvals must be obtained from the contractual partner.

8.3 Risks to the reputation or security of Studio.fiveOh must be reported.

8.4 The contractual partner shall bear the costs for the use of third-party intellectual property rights.

8.5 The client is obligated to take out adequate insurance against damages that may occur during the performance of the contract. Adequate insurance is deemed to cover all damages suffered by Studio.fiveOh or third parties as a result of the event in and around the rented premises, publicly accessible rooms, and outdoor facilities.

8.6 The Client agrees that one or more employees of Studio.fiveOh may be present during the execution of the contract.

9. Prices

9.1 The prices quoted or agreed by Studio.fiveOh are exclusive of value added tax (VAT).

9.2 If Studio.fiveOh makes an offer with a total price, there is no obligation to execute any part of the offer at a corresponding part of the total price.

9.3 Studio.fiveOh reserves the right to adjust prices. Studio.fiveOh will notify the Client of such adjustments. If the Client does not agree to the proposed price change, Studio.fiveOh has the right to terminate the contract with immediate effect and without any obligation to compensate the Client.

10. Payment

10.1 Payment must be made without deduction for any reason whatsoever at the agreed time or, if no time has been agreed, within 14 days of the invoice date in the currency stated on the invoice and exclusively by the method stated on the invoice.

10.2 Studio.fiveOh will send an invoice for the use of the rented premises, i.e., the location costs, immediately after the contract is concluded. The client must pay the invoice within the period specified on the invoice, but no later than before using the rented premises.

10.3 If the contract also covers an event (with or without catering), Studio.fiveOh will invoice 80% of the agreed price (excluding any location costs already paid) four weeks before the event, and the Client must settle this invoice within the period specified on the invoice.

10.4 Studio.fiveOh will issue the final invoice to the client no later than 14 days after the contract has been executed. This invoice will contain a detailed breakdown of the costs. The final invoice must be paid by the client within the deadline specified on the invoice.

10.5 In case of late payment, Studio.fiveOh is not obliged to execute the contract and is not liable to the client.

10.6 As soon as the Client is in default with a payment, all claims of Studio.fiveOh against the Client are due and default shall occur immediately for these claims without notice.

10.7 The Client waives any right to offset any amounts owed to each other. Complaints do not suspend the Client's payment obligations.

11. Late payment

11.1 If the Client has not paid within the applicable payment period, he shall be in default without further notice.

11.2 In the event of late payment, the client will receive a reminder a few days after the invoice is due. If the client has not paid after the reminder, a reminder will follow, in which Studio.fiveOh reserves the right to increase the invoice amount by the legally permissible amounts.

11.3 Studio.fiveOh is entitled to suspend the work or terminate the contract due to late payment if the client has not paid on time.

11.4 The obligation to pay the amounts still owed shall remain in force during the period of suspension of the work or in the event of termination of the contract.

 

12. Liability of Studio.fiveOh

12.1. Das Betreten von Studio.fiveOh und des Grundstücks des Studios durch den Mieter und Dritten geschieht ausschließlich auf eigene Gefahr.

12.2. Für die vom Mieter oder Dritter in die Räumlichkeiten mitgebrachten Geräte und Gegenstände übernimmt Studio.fiveOh keine Haftung.

12.3. Der Mieter haftet gegenüber dem Vermieter für alle während der Mietdauer entstehenden Schäden, an den Räumlichkeiten sowie allem Inventar. Inbegriffen sind auch Folgeschäden wie z.B. Mietausfall. Der Mieter haftet auch für Schäden, die Besucher und Models des Mieters verursacht haben. Der Mieter stellt den Vermieter, Studio.fiveOh, von der Haftung Dritter für entsprechende Schäden frei.

12.4. Studio.fiveOh haftet für Ausfallschäden des Mieters nur bei Vorsatz und grober Fahrlässigkeit. Eine Haftung des Vermieters für Schäden aufgrund höherer Gewalt ist ausgeschlossen.

 

13. Vertraulichkeit

13.1 Alle Informationen über den Auftraggeber, die im Rahmen der Durchführung der vereinbarten Arbeiten von Studio.fiveOh erhalten wurden, werden von Studio.fiveOh vertraulich behandelt und nicht an Dritte weitergegeben, es sei denn, Studio.fiveOh greift bei der Durchführung der Arbeiten auf die Dienste Dritter zurück.

13.2 Studio.fiveOh wird die erhaltenen Informationen nur für den Zweck verwenden, für den sie erhalten wurden.

13.3 Studio.fiveOh darf die erhaltenen Informationen jedoch für statistische Zwecke verwenden, unter der Voraussetzung, dass die erhaltenen und verwendeten Daten nicht auf den Auftraggeber zurückgeführt werden können.

14. Höhere Gewalt

14.1 Wenn Studio.fiveOh aufgrund höherer Gewalt, wie zum Beispiel, aber nicht ausschließlich: Mobilisierung, Krieg, Aufruhr, Brand, Wasserschaden, Streik bei Studio.fiveOh, Viren und Epidemien, eine oder mehrere ihrer Verpflichtungen nicht erfüllen kann, wird der betreffende Teil des Vertrags ausgesetzt. Studio.fiveOh wird den Auftraggeber so schnell wie möglich über einen solchen Umstand informieren.

14.2 Tritt die in Absatz 1 genannte Situation ein, haben beide Parteien ebenfalls das Recht, den Vertrag ganz oder teilweise und mit sofortiger Wirkung schriftlich zu kündigen, ohne dass dabei ein Anspruch auf Schadensersatz entsteht.

14.3 Wenn Studio.fiveOh im Falle des Eintretens einer Situation höherer Gewalt bereits teilweise die vereinbarten Verpflichtungen erfüllt hat, ist Studio.fiveOh berechtigt, die bereits erbrachten Leistungen gesondert und zwischenzeitlich in Rechnung zu stellen. Der Auftraggeber ist verpflichtet, diese Rechnung zu begleichen, als handele es sich um einen separaten Vertrag.

15. Geistiges Eigentum

15.1 Alle geistigen Eigentumsrechte, auch die, die aus der Durchführung des Auftrags resultieren, gehören Studio.fiveOh.

15.2 Die Ausführung des Auftrags bedeutet nicht, dass dem Auftraggeber die geistigen Eigentumsrechte daran (zum Beispiel am Konzept der Veranstaltung) übertragen werden.

16. Personenbezogene Daten

16.1 Studio.fiveOh verarbeitet alle personenbezogenen Daten, die der Auftraggeber ihr zur Verfügung stellt, in Übereinstimmung mit den geltenden Gesetzen und Vorschriften zum Schutz personenbezogener Daten, insbesondere dem Ausführungsgesetz zur Allgemeinen Datenschutzverordnung (DSGVO).

16.2 Der Auftraggeber erklärt und garantiert Studio.fiveOh, dass er alle personenbezogenen Daten, die er im Rahmen seiner Teilnahme an der Veranstaltung verarbeitet, in Übereinstimmung mit den geltenden Gesetzen und Vorschriften zum Schutz personenbezogener Daten, insbesondere der DSGVO, verarbeiten wird.

17. Sonstige Bestimmungen

17.1 Änderungen oder Ergänzungen des Vertrags sind nur gültig, wenn sie schriftlich vereinbart wurden.

18. Anwendbares Recht / Gerichtsstand

Auf das Angebot, den Vertrag und diese Allgemeinen Geschäftsbedingungen ist deutsches Recht anwendbar. Alle Streitigkeiten, die sich aus dem Angebot, dem Vertrag oder diesen Allgemeinen Geschäftsbedingungen ergeben, werden vom zuständigen Gericht in Bielefeld, Standort Bielefeld, behandelt.

 

 

Hausordnung Studio.fiveOh

In dieser Hausordnung (HR) sind die Hausregeln festgelegt, die Studio.fiveOh bei der Vermietung eines Raums an den Auftraggeber, sei es im Rahmen einer Veranstaltung oder nicht, anwendet.

  1. Die Einrichtung, Nutzung und Räumung des Raums muss in Absprache mit Studio.fiveOh erfolgen.
  2. Studio.fiveOh ist jederzeit berechtigt, bei der Einrichtung, Nutzung und Räumung des Raums zusätzliche verbindliche Vorschriften zu erlassen, wenn dies im Interesse der (öffentlichen) Ordnung und Sicherheit durch eine zuständige Behörde (einschließlich Feuerwehr, Polizei und Bürgermeister) oder durch Studio.fiveOh als ratsam erachtet wird.
  3. Mitarbeiter von Studio.fiveOh sind jederzeit berechtigt, den Auftraggeber und/oder seine Gäste zu korrigieren oder, falls erforderlich, von der Location zu entfernen. Der Auftraggeber und seine Gäste werden den Anweisungen des Personals von Studio.fiveOh Folge leisten.
  4. Der Auftraggeber ist verantwortlich für das Verhalten und Unterlassen seiner Besucher, Gäste, Mitarbeiter und von ihm beauftragter Dritter während der Durchführung des Vertrags (einschließlich, aber nicht beschränkt auf die Veranstaltung). Der Auftraggeber darf bei der Nutzung des Mietobjekts keine Belästigung oder Störung für Studio.fiveOh oder Dritte, einschließlich Nachbarn, verursachen. Der Auftraggeber hat darauf zu achten, dass beim Verlassen des Gebäudes, in dem sich das Mietobjekt befindet, die Ruhe und Stille der Anwohner respektiert wird.
  5. Immediately after the end of a meeting or event, the rental property must be vacated within the agreed rental period. This includes the removal of all materials used by the client, such as boxes, information materials, etc. All of this must be done with due consideration for the nighttime peace and quiet of the residents.
  6. It is not permitted to throw rice or confetti, or to set off fireworks, inside or in front of the building where the rental property is located, or on the terrace. The client is responsible for ensuring compliance with this rule. If a violation is detected by a Studio.fiveOh employee, a fine of €150.00 will be imposed. This fine may be supplemented by cleaning costs and compensation for any damage, which will be charged to the client.
  7. No changes may be made to the room, publicly accessible areas or (outdoor) premises without the prior express written consent of Studio.fiveOh.
  8. Smoking and/or drug use are not permitted in the room. The use of open flames is prohibited.
  9. Unwanted approaches, racism and aggression are prohibited.
  10. Glassware must be used within the walls of the rental property and the terrace.
  11. The client is obliged to return the rental property, including the goods and materials provided by Studio.fiveOh for the execution of the contract, to Studio.fiveOh in the same condition at the end of the event.
  12. The client may not display or install any advertising material (e.g., posters, flyers, banners) of any kind in the immediate vicinity of the rental property, including access roads and parking areas, without the prior written consent of Studio.fiveOh. If the client fails to comply with this, Studio.fiveOh is entitled, after unsuccessfully requesting removal, to remove the advertising material itself or have it removed at the client's expense.
  13. During use of the space, the maximum permissible noise level of 95 dBa must not be exceeded. If the client fails to comply with this noise level, Studio.fiveOh reserves the right to take appropriate measures.
  14. The client is obligated to inform guests, visitors, employees, and third parties commissioned by the client of the house rules and remains responsible for their compliance. In the event of violations of the house rules and/or the creation of a situation that Studio.fiveOh considers a disturbance of public order, Studio.fiveOh reserves the right to ban the offender(s) from the premises.
